Hitz Imaging Ltd Website Design Terms and Conditions By requesting any product or service from Hitz Imaging Ltd, you, the customer, are bound by the following Terms & Conditions. 1) Tax: According to British Tax Law Hitz Imaging Ltd is currently not required to charge VAT on any product. However, we are not responsible for any other tax or import duties charged to the customer, by any other relevant taxing authority. 2) Payment: Hitz Imaging Ltd stats that a deposit of 25% of the overall Website Design Package cost must be paid to Hitz Imaging Ltd before a first design is sent to the client. The overall cost of the Website Package will be agreed before any money exchanges. The remaining payment must be paid by the customer to Hitz Imaging Ltd after the final design has been approved and before the customer website goes live on the Internet. 3) Copy / Samples: Copy and samples supplied by customers or prospective customers may be presented to Hitz Imaging Ltd in any form, such as handwritten documents, e-mail, pdf files or image files. You must own the copyright to any text, photos, illustrations or other artwork you submit, or you must have specific written permission from the copyright owner before submitting any material in any form whatsoever. 4) Copyright: The Copyright of any logos created, artwork created, photos taken, layouts, codes, web pages, web sites or anything else prepared, created, or developed by Hitz Imaging Ltd for customers will remain with Hitz Imaging Ltd until the website has been paid for in full by the customer. Copying or reusing pictures, photos, artwork, layouts, text, codes, web pages or other reproducible materials before the website has have been paid for in full, will constitute a violation of these Terms and Conditions, and will be in breach of Copyright Laws, entitling Hitz Imaging Ltd to claim damages. 5) Company Imprint: Hitz Imaging Ltd reserves the right to display in size 8 font or less at the bottom of the “Index” (Home Page) of the customer’s website the “Hitz Imaging Ltd” company name, which will contain an external hyperlink to the Hitz Imaging Ltd website. This hyperlink will open in a new window and will not take visitors away from the customer’s website. 6) Designs & Copyrights: Hitz Imaging Ltd owns the Copyright to all design work sent to customers whether sent as electronic files such as (but not limited) to pdf files, or, in a printed form. Designs will have copyright warnings and notices on them and copying or re-using any code, website designs, pages or layouts created by Hitz Imaging Ltd for customers is forbidden and Hitz Imaging will claim damages. All copyright warnings and notices are removed when the website has been paid for in full by the customer – at such a point the Copyright of the website is the customer’s. (See Term 5 “Copyright”). 7) Delivery: Hitz Imaging Ltd will make every reasonable effort to complete and upload a website by any date agreed either verbally or in writing with the customer – but such a date is not a guarantee and Hitz Imaging Ltd will not be held liable if the website is not live on the Internet by such a date. 8) Illegal Mater/Material: Hitz Imaging Ltd does not design or create Adult websites. The customer will indemnify and hold Hitz Imaging Ltd harmless against all claims, demands, costs, expenses (including but not limited to legal costs and disbursements), losses and damages arising from or incurred by reason of the work Hitz Imaging Ltd is required to produce pursuant to a customer website being or alleged to be defamatory. 9) Web Images: Hitz Imaging Ltd will not be held responsible for any misuse, copying or distributing of images, graphics, logos or copy on a customer’s website by any person/s who visit the customer’s website. 10) Customer’s Property: The customer’s property, or any item supplied on behalf of the customer to Hitz Imaging Ltd, shall, while it is in the possession of Hitz Imaging Ltd, or in transit to or from the customer will be deemed to be at the customer’s risk unless otherwise agreed, and the customer should insure items accordingly. 11) Website Impact: Hitz Imaging Ltd designs and uploads custom built websites for customers. Hitz Imaging Ltd will not be held liable or responsible for any loss in sales, profit, reputation or anything else that adversely effects the customer’s business operation that the customer may claim is a result of having a website. 12) Insolvency: If the customer ceases to pay it’s debts in the ordinary course of business, or cannot pay it’s debts as they become due, or being a company, is deemed unable to pay it’s debts or has a winding-up petition issued against it, or being a person, commits an act of bankruptcy or has a bankruptcy petition issued against it, Hitz Imaging Ltd without prejudice will have the right not to proceed any further with any work for the customer. Hitz Imaging Ltd reserves the right to charge for any work already carried out on the customer’s behalf (whether completed or not), and any materials purchased for the customer, such charge to be an immediate debt due to Hitz Imaging Ltd. 13) Domain Names: A “.co.uk” or “.com” Domain Name is included free in any design package supplied by Hitz Imaging Ltd. If a different Domain Name is required there maybe an additional fee for this, which will be made clear to the client before proceeding with any website design/creation work. 14) Domain Name Renewal: The Domain Name (website address) the client wishes to use is chosen by the customer and purchased by Hitz Imaging Ltd as part of the Website Design package. Domain Name registration lasts for 2 years from date of purchase, and when the renewal date is due for a Domain Name Hitz Imaging Ltd will contact the customer and inform the customer of the renewal fee. Hitz Imaging Ltd will not be held responsible or liable if a customer fails to pay the renewal fee before the Domain Name expires. Customers who do not pay the renewal fee may loose the website and their Domain Name. 15) Hosting: Hitz Imaging Ltd uses UNIX servers based in Canary Wharf since these have a 99.9% uptime (the best available), and are regarded as reliable. Server crashes or failures are rare, however, Hitz Imaging Ltd will not be held responsible if the server that the customer’s website is based on fails or crashes for a period of time. 16) Hosting Renewal: As part of the Website Package Hitz Imaging Ltd creates for a customer the hosting is included, but every year from the initial date of purchase the Hosting will have to be renewed. Hitz Imaging Ltd gives customers at least 14 days notice and instruction to send payment to Hitz Imaging Ltd so that Hitz Imaging Ltd can renew a customer’s hosting on their behalf. If a customer fails to pay by the set date, then the customer’s website will be removed from the server (and thus removed from the Internet) by the Hosting company until payment is received. Additionally, all E-Mail addresses a customer has created with this website will not work if hosting and domain names are not renewed. 17) E-Mails: All Hitz Imaging Ltd Website Design Packages come with unlimited e-mail accounts. Hitz Imaging Ltd has no control or responsibility concerning any e-mails and/or files sent or received by the customer in using these e-mail accounts, or to any services or newsletters, the customer subscribes to. 18) Unforeseen Circumstances: Hitz Imaging Ltd will always make every reasonable effort to complete the customer’s order by any agreed date or time whether verbally or in writing. However, Hitz Imaging Ltd will be under no liability if it is unable to perform any obligation that is owed to the customer due to circumstances beyond its control. These circumstances include but are not limited to, Act of God, flood, legislation, war, fire, terrorism, drought, power supply failure, or a mechanical failure. During such circumstances, the customer may give written notice to Hitz Imaging Ltd to terminate any work, but subject thereto shall otherwise accept website design work or uploading of a website when available. 19) Law: These terms and conditions shall be governed and construed in accordance with English Law. English Courts shall have jurisdiction to any matters arising in connection with any contract formed between Hitz Imaging Ltd and the customer, or any work carried out by Hitz Imaging Ltd for a customer, into which these terms and conditions are incorporated.
